Terms & Conditions

1. Orders

The orders transmitted to the company AME are irrevocable for the Buyer, except written acceptance on our part.

2. Quantity

Due to the unpredictability of production, orders with printing are accepted subject to tolerance of 10% more or less of the quantities ordered. After execution, invoicing will be established in accordance with the actual quantities delivered.

3. Deliveries

The company AME strives to respect the delivery times that it indicates to the acceptance of the order, and to execute the orders, except in case of force majeure, or in the event of circumstances out of its control, such as strikes. , frost, fire, storm, flood, epidemic, difficulties of supply, without this list being limiting.
The transport of goods is always done at the risk and peril of the Buyer.
It is the responsibility of the Purchaser to exercise his recourse against the carriers and consequently to make all the necessary reservations with the latter, under the conditions provided for by law.
Any claim relating to the delivered products must be made by registered letter with acknowledgment of receipt, within a week from the date of delivery.
No return can be made by the Buyer without the prior express and written agreement of our company, obtained in particular by fax or email.
When after inspection, an apparent defect or a missing is actually found by our company or his representative, the Buyer can ask our company to take at our expense the replacement of non-compliant items and / or the supplement to bring to fill the missing ones, and this, on the condition that our company is at the origin of the defect. In any case, the Buyer can not claim any compensation or the resolution of the order.
The Buyer undertakes to keep the part of the products conforming to his order.
The receipt without reserve of the products ordered by the Buyer covers any defect and / or missing.

4. Sampling

All samples are paid. They will be refunded to the Buyer if they are returned to us in perfect condition and in their original packaging.

5. Marking

Unless otherwise stipulated, the costs of the markings are invoiced in addition.

6. Final Proof

AME will only use models, models, samples, drawings, for which the mention "Good to shoot" will have been certified and signed by the Buyer.

7. Trademarks

In accordance with the practices that govern the advertising professions and the laws on literary and artistic property, our society is the sole owner of the rights attached to its creations.
The Buyer warrants our company against any recourse or action that may be brought against him in any capacity whatsoever who believes he has any rights to claim on the models, models, samples, drawings, company name, brands, logos provided by the Buyer.

8. Price

Our prices are fixed by the tariff in force or the proposal transmitted on the day of the placing of the order. They always agree in euros duty free, unpackaged products, taken in our stores.

9. Payment

For any order, a deposit of 50% must be paid by the Buyer when taking said order.

The balance must be paid upon receipt of invoice, unless specific commercial agreement.

10. Penalties and Termination

In accordance with Articles L 441-6 and D 441-5 of the French Commercial Code, any late payment will result in a lump sum payment of € 40.

Late payment interest shall also be calculated on the basis of 1% per month, on the amount of the sum remaining due from the due date of the price.

11. Litigations

Any late payment automatically entails, at the expense of the buyer, an indemnity fixed, as penal clause, at 15% of the amount of the unpaid bill.

12. Ownership

The transfer of ownership of the Seller's Products, for the benefit of the Buyer, whether an immediate purchase or an order, will only be realized after full payment of the price by the latter, whatever the date of delivery of the said Products, and even in the case of the granting of a payment term.

FORCE MAJEURE
Seller's liability may not be implemented if the non-performance or delay in the performance of one of its obligations described in these General Terms and Conditions of Sale results from a case of force majeure, within the meaning of Article 1218 of the Civil Code.

13. Applicable Law

These General Terms and Conditions of Sale and the transactions arising therefrom are governed by and subject to French law.
